Notice on Support for Tender Offer and Agreement to Stock-for-Stock Exchanges.

December 02, 2004-NEC System Technologies, Ltd. announced today that, pursuant to the resolutions at the meeting of the Board of Directors held on December 2, 2004, it would support for the tender offer by NEC Corporation and the subsequent stock-for-stock exchange for shares of NEC for the purpose of taking complete control of NECST.
